End User License Agreement
Last updated: January 2026. The license terms governing use of Northcloud Solutions Inc. software products.
1. Agreement
This End User License Agreement ("EULA") is between Northcloud Solutions Inc. ("Northcloud", "we", "us") and the organization or individual ("you") that accesses or uses a Northcloud software product. By accessing or using the product, you agree to this EULA. Where you have a separate subscription order, master service agreement, or AWS Marketplace agreement with us, that document prevails where it conflicts with this EULA.
2. License grant
We grant you a non-exclusive, non-transferable, revocable license to access and use the product during your subscription term, solely for your internal business purposes and in accordance with the documentation. No ownership rights are transferred.
3. Restrictions
You may not copy, modify, or create derivative works of the product; reverse engineer it except where law permits regardless of this restriction; resell, sublicense, or provide access to third parties other than your authorized users; circumvent security or licensing mechanisms; or use the product for unlawful purposes.
4. Your data
You retain all rights to the data you submit to the product. You grant us the limited rights needed to host and process that data to provide and support the product, as described in our Privacy Policy. You are responsible for the lawfulness of the data you submit.
5. Accounts and users
You are responsible for the accuracy of account information, the confidentiality of credentials, and the actions of users under your account. You will promptly notify us of any unauthorized use you become aware of.
6. Updates and changes
We may release updates, improvements, and fixes to the product. Products identified as pre-release (for example, "Coming Soon" or "Private Preview") may change materially before general availability and are provided without service level commitments.
7. Fees
Subscription fees, billing terms, and any applicable taxes are set out in your order, proposal, or AWS Marketplace listing. Except where required by law or expressly agreed, fees are non-refundable.
8. Warranties and disclaimers
We warrant that the product will materially conform to its published documentation during your subscription term. Your exclusive remedy for breach of this warranty is correction of the non-conformity or, if we cannot correct it within a reasonable time, termination with a refund of prepaid, unused fees. Otherwise the product is provided "as is" and we disclaim all other warranties to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability under this EULA is limited to the amounts you paid for the product in the twelve months preceding the event giving rise to the claim.
10. Term and termination
This EULA applies for the duration of your subscription. We may suspend or terminate access for material breach after notice and an opportunity to cure. On termination, your license ends and we will make your data available for export for a reasonable period, after which it is deleted as described in our Privacy Policy.
11. Governing law and disputes
[Governing law and jurisdiction to be confirmed by Northcloud Solutions Inc.] Any dispute arising from this EULA will be resolved in the courts of the governing jurisdiction, and the parties consent to their exclusive jurisdiction.
